Trump claims that his Trump Organization can’t be sued because it doesn’t exist

In a lengthy, wild response to the New York attorney general’s $250 lawsuit alleging widespread fraud across his business empire, attorneys for Donald Trump and his three eldest children have argued that the “Trump Organization” at the centre of her blockbuster case against them cannot be sued because it does not legally exist.

The filing argues that the “Trump Organization” is used by the defendants only for “branding and business purposes” and that “no entity as such exists for legal purposes”, an argument that is repeated dozens of times across a 300-page document.

Thousands of pages across 16 answers to Letitia James’s case were filed just before a midnight deadline on Thursday, as the former president, his children Donald Jr, Ivanka and Eric and recently convicted chief financial officer Allen Weisselberg and other associates and entities face a sweeping lawsuit alleging that Mr Trump falsely inflated the value of his net worth by billions of dollars. He’s alleged to have done so in an effort to gain tax benefits and other benefits from insurers and financial institutions.

12. If true, it's a decent argument. As I understand it, The Trump Organization

is really just several hundred LLCs, all owned by Trump. It has no legal existence on its own. If true, you can’t sue it, but you’d think they would have used that in a motion to dismiss when the case was first filed.

Although I haven’t done the research, if he’s successful in this, it may result in them going after him personally on a theory of piercing the corporate veil (or in this case the limited liability company — although I’m not sure it applies to that type of entity).

If in fact he is an “officer” he has to be an officer of an organization that has a legal existence. Maybe he is CFO of hundreds of LLCs which provide pass through income to Trump.

Corporations and LLCs don’t just exist because you say they do. Paperwork must be filed, usually with the secretary of state in the state in which they were created. There are, for instance articles of incorporation, annual reports, designation of officers and registered agents.

The paperwork provides protection for the individuals behind the entity. If there’s no entity, there’s no protection, but neither is there liability on the part of an entity that was never legally created.

The problem with the TO not existing is that the reason you set up organizations like that is to limit liability to them. If the TO does not exist then the people who are responsible and need to be sued are TFG himself, TFG jr, Ivanka, and Eric personally.
