We have incurred losses from operations since inception, have negative working capital of approximately $5.8 million at December 31, 2004, and lack operational history. These conditions, among others, raise substantial doubt about our ability to continue as a going concern.

We have not generated any revenues from our Voting System operations, and there is no assurance of any future revenues. We will require substantial additional funding for continuing the development, obtaining regulatory

Federal, state and various foreign government regulations govern the sale of our products. There can be no assurance that we will receive the regulatory approval required to market our proposed products.

The accompanying consolidated financial statements have been prepared assuming that we will continue as a going concern which contemplates, among other things, the realization of assets and satisfaction of liabilities in the ordinary course of business. BUSINESS TRENDS

There are three business trends evident in the market today that are material to our operations. The first is the delay in the procurement cycle until after the November 2004 election. This trend was influenced by two factors: 1) the delay in the distribution of the federal funds by the United States Election Assistance Commission, and 2) the November 2004 Presidential Election. The delay in the distribution of the federal funds was caused by the delay in nominating and confirming the Election Assistance Commissioners (scheduled to be completed by April 2003, but instead was completed in December 2003), and the delay on the part of some states in meeting all the requirements for the funds to be released by the Election Assistance Commission. With the delay in funding until June 2004, less than five months before the November 2004 election, the majority of counties have decided not to risk making any changes until after the November 2004 election. As of Feb. 6, 2005 the DOJ has informed the Secretaries of State that they must be in compliance with the statues of HAVA as scheduled. This creates a strong message to begin purchasing voting machine as required.

The second business trend is the growing momentum of the movement for a Voter Verified Paper Audit Trail (VVPAT). As of September 2004, eighteen states (Alabama, Alaska, California, Connecticut, Georgia, Illinois, Maine, Maryland, Minnesota, New Hampshire, New Jersey, New York, Ohio, Vermont, Virginia, West Virginia and Wisconsin) have either passed or are actively considering legislation that would make it a requirement for any direct recording electronic (DRE) voting system used in the state to produce a VVPAT. As recently as February 1, 2005 both Arizona and Texas have introduced legislation requiring a VVPAT with bills being considered in Louisiana and Washington. In another five states (California, Missouri, Oregon, New Hampshire and Nevada), the Secretary of State has issued a directive mandating VVPAT in the state.

The third business trend is the growing list of states that are requiring DRE voting systems to be qualified under the 2002 federal voting system standards. This requirement is primarily focused in states where electronic

voting systems have not been previously used (e.g., Illinois, Missouri, Iowa and North Carolina).

Overall the net impact of these trends on AccuPoll is positive. AccuPoll already has a DRE voting system with a VVPAT qualified under the 1990 federal voting system standards. We are currently in the process of testing our DRE voting system under the 2002 federal voting system standards. We expect to complete federal qualification testing under the 2002 federal voting system standards by March 1, 2005. This places AccuPoll in position as one of the few vendors with a DRE voting system that is federally qualified under the 2002 voting system standards and has a VVPAT in time for the beginning of the procurement cycle after the November 2004 election. This is especially important in states like Missouri and Illinois that have not previously authorized DRE voting systems to be used in the state, but must at a minimum meet the accessibility requirements under the Help America Vote Act of 2002 (i.e., one DRE voting machine per polling place).

OCTOBER 18, 2004 (COMPUTERWORLD) - Tustin, Calif.-based AccuPoll Inc. is one of the few vendors of DRE touch-screen voting machines whose systems include a voter-verifiable paper audit trail. AccuPoll President and co-founder Frank Wiebe talked to Computerworld about the "disjointed" national process for developing, testing and certifying e-voting systems.

What is your view of the current testing process conducted by the Independent Testing Authorities and the call for more transparency into DRE software design? As a company, we think opening our source code to review would actually be a good thing to do. What we have to look at is, having invested millions of dollars creating the software we have, to do that in the appropriate way and be sensitive to our shareholders.

If the secretary of state from any state wants to be comfortable that the software they have loaded on their systems is in fact the certified software, they can take designated test cases that they want to run and run those tests in public. This would probably take several days before it's done. And then they can publish the results.

The issue we have as a business is that our software is several hundred thousand lines of Java code. Most people would probably not be qualified to look at it. We've always made the source code available to the states, but nobody has ever really directly asked us for it.

We don't look at the as adversarial. They are actually helping us make our software compliant and make it better. But the Election Assistance Commission has to come up with guidelines to help make the process transparent.

What kind of testing practices do you follow during the software development process? Do you do unit testing or only end-product integration testing? We conduct testing at all levels. Each developer has their own individual unit testing that they do on their own. We use a standard software management tool for checking software in and out and being aware of who's working on what. We also use an internal problem-ticketing system that tracks and assigns bugs and fixes. From there it goes into an integration testing environment. And from there it has to go through regression testing with the versions that are already deployed.

Were you at all surprised when you read the comments in the independent studies of the Diebold software? Yes and no. Diebold bought a company that , and they probably did so under the assumption that they had a product that met the federal standard and was actually in the field and being used. I don't know what they did to determine if the product was well developed.

In looking at their code, there certainly would appear to be glaring deficiencies in how the software was developed, tested and documented internally. But I have to partially agree with Diebold's response that the studies did not look at the overall election process. Part of any IT system is the overall process around it, including the overall rules regarding access and how audits are conducted and how frequently. There's only so much you can do in the software and the hardware.

Tustin, CA – March 1, 2005 – AccuPoll, Inc. (OCTBB: ACUP), a developer of Direct Recording Electronic (DRE) voting systems today announced the successful completion of Sunday’s endorsement election for the Democratic Committee of Allegheny County. Nearly 1,900 ballots were recorded in just a few hours, with results ready in just minutes after the polls closed.

AccuPoll conducted the election alongside reseller Unisys Corporation (NYSE: UIS), which provides election services, training and support for AccuPoll’s system throughout Pennsylvania.


"The AccuPoll voting system was absolutely wonderful and I am very excited about the benefits it provided to our voters,” said Jean A. Milko, Chairman of the Democratic Committee of Allegheny County. “Our older voters found the system very easy to use and many found it to be so simple and intuitive that they didn’t even have to be shown how to use it. Our lines were much shorter than usual because the system sped voters through quickly. I also think that the paper trail is a tremendous asset because it provides a backup of the vote. In all, our voters loved it.”


Committee members cast their ballot electronically using AccuPoll’s intuitive touch-screen interface and were able to personally review a printed paper audit trail indicating their selections. The audit trail was then inserted into a ballot box, becoming part of the official record for recounting and verification.



“With more than 22 different ballots and nearly 1,900 voters in just seven hours at one location, this is one of the more complex tasks that a voting system can endure,” said Frank Wiebe, president of AccuPoll.

Systems and methods for electronic voting
An electronic voting system has a voting administrative module connected to a plurality of voting modules connected via a network. A voter initiates the voting process by inserting a voting key into a voting key reader of a voting module. The voter then makes voting selections, which include casting votes, on a touch screen display of the voting module. Alternatively, the voting module may verbally guide the voter through the voting process using an audio headphone. The voter may also make voting selections verbally through a microphone using voice recognition technology, or by using a tactile keypad. After the voter is finished casting votes, a voter verifiable paper ballot is printed and an electronic ballot is saved on the electronic voting system. The voter can review the paper ballot. If the voter is not satisfied with the voting selections reflected on the paper ballot, then the paper ballot and the electronic ballot may be spoiled and the voter given a new voting key to use to re-cast the votes on the electronic voting system.

Has anyone found any links or connections to GOP or Fundies by this company (as per Diebold, ES & S etc connections to GOP and Fundamentalist Christian RW)?

This is a new company. I have seen their machines and compared to others I have seen, AccuPoll's system does seem to have addressed some of the problems. Their VVPB format is the best I have seen coming out of a DRE (standard 8.5 x 11 plain-paper sheets printed in non-fade ink).
