Johnny had often said that Letterman is his true heir, and I think Johnny realized that if Letterman took his chair, he would never be anything but "Johnny's replacement". But by remaining solo on his own show, he remains who he is.

Though JOhnny first fought to get Letterman as his replacement, I think he soon relaized that taking the spot would actually hinder his career, and forever taint all his accomplishments, saddling him with the moniker "He's just riding Johnny's wave" and "It's not Letterman that's popular, it's the show that Johnny created that's popular".

Let Leno going down in history as the one who was only good enough to ride JOhnny's coattails, but not do his own thing.
