2. Here's my issue - who appoints his replacement in the senate?

Because, if I'm correct Warner would have to resign first before he can be sworn in as governor. If that was the case you know McDonnell would sneak in an appointment before he turns the reigns over to Warner.

Same issue if Casey runs for governor of Pennsylvania, which he would have no problem winning. In the end Corbett would appoint Casey's replacement which means the republicans get another GOP senator and in Pennsylvania the GOP is SLIME!
